Job Description
Job Summary:
The Legal Manager will lead the Legal Department and serve as the primary legal advisor to the Company. Responsible for driving strategic legal guidance, managing legal risks, and safeguarding the Company's operational and corporate interests. The role encompasses managing all legal documentation, drafting, reviewing, and negotiating commercial agreements, handling corporate governance matters, and managing disputes, litigation, and external legal counsel.
Key Responsibilities:
1. Strategic Legal Advisory & Business Support
- Provide strategic legal advice and support to senior management and business units on corporate, operational, and commercial matters.
- Identify legal risks arising from business operations and formulate practical, business-aligned strategies to mitigate them.
- Stay abreast of relevant legislation, statutory updates, and judicial developments affecting the Company’s operations (e.g., DSA 1997, DSR 1998, PDPA, and corporate laws) and advise management on necessary adjustments.
2. Contracts & Commercial Agreements
- Oversee the complete lifecycle of commercial contracts and agreements, including drafting, reviewing, negotiating, and finalized execution to protect the Company's legal rights and commercial position.
- Establish legal guidelines, standard operating procedures, and contract templates for key business functions.
- Provide legal counsel to internal stakeholders on contract interpretation, dispute resolution, and vendor/third-party negotiations.
3. Litigation, Dispute Resolution & External Counsel Management
- Manage disputes, claims, litigation, arbitration, and mediation involving the Company.
- Select, instruct, and manage external legal counsel to ensure high-quality, cost-effective representation for litigation or specialized legal matters.
4. Corporate Governance & Secretarial Support
- Collaborate with internal leadership and governance teams to ensure legal alignment across corporate structures and decisions.
- Review and advise on board resolutions, corporate restructuring, shareholder agreements, and corporate policies from a legal standpoint.
