We are looking for a Legal Manager who has a few years experience working in a law firm in the finance or capital markets space with some experience working in corporate / bank (i.e. inhouse) and is able to set up the legal ops for Thailand business.You will take proactive steps in driving legal matters for the Thai Business and is able to work with regional legal team collaboratively.
What you will do:
- Manage overall compliance for the company especially relating to SEC Debt Crowdfunding regulations, AML/CFT, PDPA and other relevant Thai laws pertaining to lending and debt collection
- Monitor compliance with regulations and policies/standard operating procedures
- Provide advice on legal and regulatory matters to business units either by independent research or by engaging with external counsel, informally or formally as required
- Draft, review, and negotiate a broad range of contracts and legal documents to complement various lines of business, including financing agreements, bond documents, collaboration agreements, service contracts, supplier contracts, outsourcing, professional and support services, non-disclosure agreements and service levels agreements
- Provide legal advice and support on various commercial matters, including the development and launch of new products/services, partnerships/collaborations, confidential information, privacy-related matters, data governance and other corporate policies.
- Support due diligence exercise in respect of a mergers, acquisitions or fundraising event
- Conduct research and analysis of legal problems and present the same to the Legal team
- Undertake general corporate work (registration and liquidation of companies, share transfers, etc.) as well as drafting, reviewing, and maintaining corporate documents (meeting minutes, resolutions, POAs, MOAs, licenses, etc.)
- Assist in the development and implementation of measures, policies, procedures and framework to improve day-to-day legal operations
- To assist in legal vetting, legal research or advice on ad hoc legal matters as required.
- Carrying out other functions as deemed appropriate by the Head of Legal from time to time.
- Litigation Management: (a) Managing and strategizing defense for assigned litigation and debt recovery cases for a favourable and cost saving outcome. (b) Assist in restructuring/settlement of debts. (c) Managing all litigation updates. (d) Coordinating with and providing instructions to external legal counsel. (e) Periodic audit reporting
- To maintain the relevant legal trackers and ensuring its accuracy and up-to-date status
- To ensure that the activities of the company are in accordance with the laws and regulations governing the activities of the company and internal policies.
- Any other jobs, ad-hoc projects, special projects or assignments by Head of Legal and Country Manager.
What we are looking for:
- Bachelor’s or Master’s degree in Law
- 5 to 10 years of working experience in Compliance, Legal or related field, Lawyer license preferred
- Familiar with drafting, reviewing, and negotiating legal documents, PDPA, litigation matters in Thailand
- Experience in launching Compliance initiatives with a financial institution or Fintech company
- Proactive/can-do approach and attitude
- Strong analytical skills and the ability to think laterally and provide constructive feedback
- Very good drafting skills & proactive manager.Strong interpersonal skills to work well with people
- Good attention to detail, well-organized with structured and logical approach
- Excellent written and verbal communication skills in English and Thai
- Mature personality, able to work independently, self-confident, and strong communication skills
