Job Description

We are seeking a highly capable and experienced Assistant Manager, Corporate Secretarial to lead and manage a portfolio of clients while overseeing the full spectrum of corporate secretarial and governance functions. This role requires strong technical expertise, leadership capabilities, and the ability to advise Boards and senior management on regulatory and governance matters.

Key Responsibilities:

  • Manage and oversee the full range of corporate secretarial functions for a portfolio of clients
     
  • Advise clients on corporate governance, statutory compliance, and regulatory requirements under the Companies Act and relevant laws
     
  • Review and monitor the preparation of board papers, resolutions, minutes, statutory forms, and other corporate documentation
     
  • Attend Board and Shareholder meetings as corporate governance adviser and provide professional guidance to Directors and Senior Management
     
  • Liaise with regulatory bodies and government authorities on compliance matters and approvals
     
  • Guide and supervise junior executives to ensure timely submissions and zero-risk compliance delivery
     
  • Maintain and continuously improve standard operating procedures (SOPs) and internal controls
     
  • Advise clients on corporate restructuring, company strike-off, winding up, internal transactions, and governance matters involving directors and stakeholders
     
  • Lead billing processes, fee management, and receivables follow-up
     
  • Drive knowledge development within the team and promote intrapreneurship culture
     
  • Handle ad-hoc assignments as required
     

Job Requirements

  • Bachelor’s Degree or Professional Qualification in Corporate Administration, Law, Business Administration, or related discipline
     
  • Minimum 3 years of relevant experience in a corporate secretarial firm
     
  • Strong knowledge of Companies Act 2016, corporate governance framework, and regulatory compliance requirements
     
  • Proven experience managing a client portfolio independently
     
  • Good command of English (written and spoken); Mandarin proficiency is an advantage
     
  • Strong leadership, mentoring, and team management skills
     
  • Excellent interpersonal and client advisory skills
     
  • Meticulous, organized, and able to manage multiple deadlines effectively
     
  • Able to work independently while leading and motivating a professional team
