Corporate Secretarial Executive

Job Description

  • Support and assist the Secretarial Department in all aspects of company secretarial work, statutory files maintenance (i.e. maintain and update company's statutory books and records) and related statutory requirements.
  • Responsible for the preparation of resolutions, meeting minutes and other corporate secretarial documents.
  • Using MYCOID system amongst others for incorporation of companies, allotment of shares, changes to the directors, managers and secretary etc.
  • Responsible for the preparation of Annual Returns using MBRS system.
  • Make announcements to Bursa Securities and participate in corporate exercises.
  • Liaise with auditors, share registrar and other professionals.
  • Organize and coordinate meetings including prepare Board papers, pre-meeting preparations and post meeting actions.
  • Handle and perform admin functions such as preparing of cover letters, correspondences and maintaining proper filing.
  • Assist in preparing draft Annual Report, Circular to shareholders and all the relevant checklists.
  • Any other task as assigned by management or superior from time to time.

Job Requirements

  • Full qualification of ICSA or its equivalent.
  • Bachelor's Degree in Law, Business Administration, Management or related discipline from recognized universities.
  • Minimum 3 years of working experience in corporate secretarial field, preferably with exposure in public listed companies.
  • Sound knowledge of the Companies Act 2016, Bursa Malaysia's Listing Requirements, Malaysian Code on Corporate Governance and other related regulations.
  • Able to support in all company secretarial matters and provide advice to operating units and other departments on secretarial matters.
  • Proficiency in both written and spoken English and Bahasa Malaysia.
  • Computer literate with knowledge in Microsoft Office application, MYCOID, MBRS system for online submission to SSM.
  • Able to work and communicate effectively with internal and external parties.
  • A good team player and able to work with minimum supervision.
  • Willing to travel.
